STRUCTURE: Calderdale and Huddersfield NHS Foundation Trust may allow co-opted, rather than elected, members onto its membership council.

At present the foundation’s membership council, the equivalent of an FT board of governors, is elected. The board of directors was asked in January to consider reviewing its constitution to include provision for co-opted or elected reserve councillors, and to give an indication of when such a provision would be used. The issue had been raised at the membership council.

Discussion took place around the fact that membership councillors were elected through a democratic process and this would have to take precedence when a vacancy arose. It was noted that nine seats were due for election in the summer and therefore this option may be a factor to consider if it were unable to fill all vacancies. The Board of Directors agreed in principle but asked that criteria for eligibility and process be brought back to the next meeting and then taken to the Membership Council in April.
